On April 25th 2007 in Warsaw MNI S.A. purchased 25 % of
MoCoHub’s share capital and thereby MNI became a sole
shareholder of the company.
The purchase price of the offered shares has
been established in compliance with the provisions of the preliminary
purchase agreement signed between the parties on September 15th 2006.
The acquisition transactions completed the MoCoHub’s takeover
by the MNI Group.
The MoCoHub Company has been fully integrated with the operational and
functional structures of MNI Premium S.A. and has become responsible
for the media activity. Thanks to the capitalization of MNI Premium,
MoCoHub has received implements to effectively manage the media sector
in the MNI Group.

Very good financial outcomes MoCoHub has achieved in recent years and
bright development prospects have been now supported by MNI S.A., a
telecom industry investor. On September 15th 2006 MNI purchased 150
MoCoHub shares, which represents 75% stake in the MoCoHub Company. The
transaction will be financed through MNI’s own resources and
in part through the resources from L-series shares issue.
MoCoHub was
established in mid 2003, and since then has secured its market position
as a leader of mobile content provider in Poland reaching 90% of mobile
subscribers (a total of 30 million). By the acquisition of MoCoHub, MNI
implements its development strategy which aims to launch a multi-tier
center for procuring and producing content for multimedia services
including mobile phone, Internet television, the Internet and the
traditional media.
According to the assumption of the positioning strategy concerning
individual activities in the MNI Group, MoCoHub will take on an
integrating role to localize, aggregate and supply contents for
multimedia services such as mobile games, music, movies and other
multimedia contents for MNI’s and the Group media
partners’ own needs as well as for the needs of external
entities.
